Platform Terms of Service

Effective Date: October 28, 2025

1. Agreement

These Platform Terms of Service (the Terms) govern access to and use of the platform and related services (the Services) provided by The Renelle Group Inc. dba Zero Data Overage (the Company). By accessing or using the Services, you agree to these Terms.

2. Access and Accounts

Access to the Platform is limited to authorized users. Users must safeguard credentials and are responsible for activity conducted under their accounts.

3. Use of the Services

The Services may only be used for lawful business purposes. The Platform provides recommendations intended to reduce avoidable data overage charges. The Company does not control carrier billing systems or end-user behavior and does not guarantee specific financial outcomes.

3.1 Acceptable Use

Users must not attempt unauthorized access, interfere with system operation, misuse data, engage in fraudulent activity, or violate applicable law. The Company may suspend access where necessary to protect security or compliance.

4. Support

During onboarding, the Company may provide additional assistance to support Partner enablement. After onboarding, Partner provides Tier 1 client support. The Company provides Tier 2 and platform-level support.

5. Data and Privacy

The Company acts as Data Controller for data processed within the Platform. Partner acts as an administrative user with role-based access rights. Data processing practices are described in the Platform Privacy Policy.

6. Intellectual Property

The platform, its codebase, data models, reporting methods, optimization logic, and proprietary algorithms are owned exclusively by The Renelle Group Inc. dba Zero Data Overage. This includes predictive usage forecasting and the Just-In-Time methodology that maintains zero data overage outcomes. Access does not grant any ownership rights.

7. Fees and Billing

Company invoices the Partner. Partner invoices its end-clients. Partner is solely responsible for client pricing and commercial terms.

8. Confidentiality

Each party must protect confidential information and use it only for purposes related to the Services.

9. Indemnification

Each party will indemnify the other from claims arising from its own breach of these Terms or misuse of the Services.

10. Limitation of Liability

The Company is not liable for indirect, incidental, special, or consequential damages. The Company’s total liability is limited to fees paid in the twelve (12) months preceding the claim.

11. Modifications

These Terms may be updated periodically. Continued use of the Platform constitutes acceptance of revised Terms.

12. Assignment

The Company may assign these Terms in connection with a merger, acquisition, or sale of assets.

13. Governing Law

These Terms are governed by the laws of the State of Delaware.

14. Entire Agreement

These Terms constitute the entire agreement regarding the Services.
